Version 1 — MVP
Purpose
This document defines key terms used across all platform policies and explains how those terms are to be interpreted.
It exists to: ensure consistent interpretation of platform rules; remove ambiguity around timing, liability, and remedies; and govern how terms are applied across all policies.
Unless otherwise stated, these definitions apply to all platform policies, agreements, and notices.
1. Definitions
Business Day — A day other than a Saturday or Sunday, or a public holiday in the jurisdiction in which the platform operates.
Calendar Day / Day — A 24-hour period beginning at 12:00am and ending at 11:59pm local time, unless otherwise stated.
Buyer — A person or entity that purchases goods through the platform.
Seller — A person or entity that lists and sells goods through the platform.
Pickup — The time at which goods are collected by the buyer or the buyer's nominated agent from the seller or seller's nominated location.
Delivery — The time recorded by the freight provider as delivery to the buyer or the buyer's nominated address.
Dispute Window — The period during which a buyer may raise a dispute. Unless otherwise stated, the dispute window is 24 hours from pickup or delivery, as applicable.
Item Not as Described — A circumstance where the goods materially differ from the published listing, including by omission of a material defect, or incorrect description of dimensions, species, quantity, or defect location.
Material Difference — A difference that would reasonably affect a buyer's decision to purchase the goods when acting reasonably, or prevent the goods from being used in a manner reasonably contemplated by the listing. Minor cosmetic variation, natural timber variation, natural grade variation and allowance, or disclosed defects do not constitute a material difference.
Release of Funds — The initiation of payout of held funds to the seller. Release of funds may occur on the next Business Day following satisfaction of the applicable release conditions. Release does not guarantee same-day settlement by a payment provider or bank.
Platform Protection Mechanism — The pooled platform-controlled fund used to initially fund certain costs, including seller-at-fault return freight and dispute resolution logistics. Amounts funded via the protection mechanism may be recovered through seller payout adjustments or future payouts.
Return Freight — Freight arranged to return goods from buyer to seller following a valid dispute outcome.
Tallies — A document or list specifying quantities and lengths of goods included in a listing.
Policies — All rules, standards, and policies published by the platform, including but not limited to: Seller Listing Standards; Seller Returns & Remedies Policy; Freight & Delivery Policy; Buyer Returns & Disputes Policy; Payments, Escrow & Fees Policy; and this Definitions & Interpretation document.
2. Interpretation Rules
Unless the context requires otherwise:
Headings are for convenience only and do not affect interpretation.
Words in the singular include the plural and vice versa.
References to "including" mean "including without limitation".
Time references are based on local time at the location of pickup or delivery, unless otherwise stated.
Where an action is required within a stated number of days, the day of the triggering event is excluded.
If an action falls due on a non-Business Day, it may be performed on the next Business Day.
3. Priority & Consistency
Where there is any inconsistency:
This Definitions & Interpretation document governs the meaning of terms.
Specific policies govern operational rules.
Carrier terms govern physical transport liability.
4. Updates
The platform may update definitions from time to time.
Updated definitions apply prospectively and do not alter rights or obligations arising prior to the update.
